Dear Jordan Taylor,

We are delighted to offer you the position of Senior Software Engineer at Acme Corporation, reporting to Priya Patel, VP of Engineering in the Engineering department. Below are the terms of this offer.

1. POSITION

2. COMPENSATION
   Base salary:   $165,000 USD per year

Eligible for annual performance bonus targeting 15% of base salary, prorated for partial years.
Grant of 10,000 stock options at strike price set on hire date, vesting 25% after 12 months and monthly thereafter over 36 months (4-year vest, 1-year cliff).

3. BENEFITS

- 401(k) with 4% company match, vesting immediately.

4. AT-WILL EMPLOYMENT
   Your employment with Acme Corporation is at-will, meaning either you or the Company may terminate the employment relationship at any time, with or without cause or notice. Nothing in this letter alters that at-will relationship.

5. CONTINGENCIES
   This offer is contingent upon (a) successful completion of a background check, (b) verification of your eligibility to work in the United States, and (c) your execution of the Company's standard Confidentiality and Invention Assignment Agreement.

6. ENTIRE AGREEMENT
   This letter, together with the agreements referenced above, constitutes the entire agreement between you and the Company regarding the terms of your employment and supersedes any prior representations.

7. ACCEPTANCE
   To accept this offer, please sign and return this letter by May 4, 2026. We are excited about the contributions you will bring to Acme Corporation and look forward to welcoming you to the team.

An employment offer letter is the formal document that converts a verbal hiring decision into a written contract. While it is not the same as a full employment agreement, it captures the material terms — title, compensation, start date, benefits, at-will status — that the new hire and the company are relying on. A clear offer letter prevents the most common new-hire disputes: misremembered salary, vague start date, unclear bonus eligibility, and ambiguous remote-work expectations. For US private-sector employers, the offer letter should explicitly affirm at-will employment to preserve the employer's ability to end the relationship without cause; without this language, courts in some states may infer an implied employment contract. Most companies pair the offer letter with a Proprietary Information & Inventions Agreement (PIIA), an arbitration clause, and reference to an employee handbook.

Frequently asked

Once signed, yes — it creates a contract for the terms it covers. However, it does not override at-will employment if the at-will language is clearly stated. The offer letter binds the parties to the salary, title, and start date represented; deviating from those terms after the candidate signs can create breach-of-contract liability.
