1. EQUIPMENT
Lessor agrees to rent to Renter, and Renter agrees to rent from Lessor, the following equipment (the "Equipment"):
Bosch 11264EVS rotary hammer drill, SDS-max, serial #BO228491
(2) 6-foot fiberglass step ladders, Werner Type IA, blue
50 ft 12-gauge extension cord, yellow, GFCI inline
Dewalt DCS577 7-1/4" cordless circular saw, serial #DW772834, with 2 batteries + charger
Total replacement value (for total-loss assessment): $1,850.00
2. RENTAL PERIOD
The rental period is daily, commencing on 2026-05-22 09:00 and ending on 2026-05-24 18:00 ("Return By"). The Equipment shall be returned to Lessor's location by the Return By time.
3. COMPENSATION
Rental rate: $85.00 per daily.
Total rent for stated period: $255.00.
Security deposit: $500.00 (refundable per Section 6).
Payment method: credit/debit card on file.
4. LATE-RETURN FEES
Double the daily rate for each day (or partial day) past the return time. After 7 days past return, equipment is treated as lost — full replacement value charged.
5. CONDITION AT PICKUP + RETURN
Pre-rental inspection: Equipment was inspected together by Lessor and Renter at pickup. Condition: GOOD — all items operational, no visible damage beyond normal wear (minor scuffs on ladder side rails noted in pickup photo). Photos taken at pickup + will be retaken at return for damage comparison.
Return condition requirements: Return clean (free of debris, paint, mud). Empty fuel for gas-powered items (or Lessor refuels at $8/gal + $25 service fee). All accessories returned in same case/box provided. Damaged or missing items will be invoiced from the security deposit; any excess charged to the card on file.
6. LIABILITY + DAMAGE
Renter is responsible for the FULL REPLACEMENT COST of any item that is damaged, stolen, lost, or returned in unusable condition. Normal wear and tear is excluded. Minor damage (consumables like blades, bits, batteries) is billed at retail replacement cost.
7. INSURANCE / DAMAGE WAIVER
A damage waiver is included in the rental rate, limiting Renter's liability for accidental damage to a deductible of $250 per item. Theft, gross negligence, and intentional damage remain Renter's full responsibility.
8. PERMITTED USE
Equipment shall be used only for the lawful purposes for which it is designed. NO commercial subletting, NO use by unlicensed operators (where licensing is required, e.g., aerial-lift OSHA 29 CFR §1926.453 certification), NO interstate transport without prior written consent.
9. RISK OF LOSS
Risk of loss passes to Renter at pickup and remains with Renter until the Equipment is returned to Lessor's location and accepted by Lessor following inspection. During the rental period, Renter shall protect the Equipment from theft, damage, weather, fire, and unauthorized use.
10. NO WARRANTY
THE EQUIPMENT IS RENTED "AS-IS" AND LESSOR DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, except that Lessor warrants the Equipment is in safe operating condition at pickup.
11. INDEMNIFICATION
Renter shall indemnify, defend, and hold Lessor harmless from any claim, loss, or damage arising from Renter's use of the Equipment, except to the extent caused by Lessor's gross negligence or willful misconduct.
12. GOVERNING LAW
This Agreement is governed by the laws of the State of Oregon.
13. ENTIRE AGREEMENT
This Agreement is the entire agreement between the parties on its subject. Modifications must be in writing signed by both.

An equipment rental agreement governs the temporary transfer of possession (but not ownership) of physical goods — tools, gear, vehicles, AV/audio, party supplies. Three clauses do the real legal work: (1) **Risk-of-loss + replacement value** — without an explicit total-replacement-value number, disputes about whether an item was worth $300 or $3,000 become arguments by feel. List replacement value at the line-item or aggregate level. (2) **Damage waiver vs. renter insurance** — three industry conventions exist: a built-in waiver (a "rate-with-waiver" upcharge of 10-15%), an optional waiver (presented at checkout with declination box), or a renter-COI requirement (commercial customers — bring a certificate of insurance naming the lessor as additional insured). Each has tradeoffs; pick one and document it. (3) **Late-return economics** — most disputes happen when an item is returned a day late and the renter expects to pay the daily rate but the lessor invokes the late-fee multiplier. Document the late-fee schedule explicitly + the "treated as lost after X days" threshold. UCC Article 2A (Lease of Goods) governs the underlying transaction in 49 states + DC; Louisiana applies its civil-code lease provisions instead. For aerial lifts, scissor lifts, and other equipment requiring operator certification (29 CFR §1926.453), include the certification requirement explicitly.
